1. Acceptance of Terms
These Terms of Service ("Terms") govern access to and use of Workfold and related services (collectively, the "Services"), operated by TDF Labs GmbH ("TDF Labs", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms.
2. Eligibility
The Services are available to business customers and individual users. You must be at least 18 years old to create or use an account. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts and Security
You are responsible for maintaining the confidentiality of account credentials and for all activities that occur under your account. You must promptly notify us of any unauthorized use of your account or any other security incident involving the Services.
4. Services
Workfold is a modular business operating system that may include modules such as calendar, tasks, CRM, projects, invoices, and integrations. We may update, improve, or modify the Services to maintain reliability, security, and product quality.
5. Pricing and Billing
As of the Effective Date, no paid plan is required to use the Services. We may introduce paid features, subscriptions, or usage limits in the future. If we do, we will provide prior notice and update applicable commercial terms before charges apply.
6. Acceptable Use
You agree not to:
- Use the Services in violation of applicable laws or regulations
- Attempt to gain unauthorized access to systems, data, or accounts
- Interfere with or disrupt service integrity or performance
- Reverse engineer, decompile, or attempt to derive source code, except where permitted by mandatory law
- Use the Services to transmit malware, spam, or fraudulent content
7. Third-Party Services and Integrations
The Services may support optional third-party integrations (for example, Google services). Your use of third-party services is subject to those providers' terms and policies. We are not responsible for third-party services or their availability.
8. Intellectual Property
The Services, including software, content, trademarks, and design, are owned by or licensed to TDF Labs and protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for lawful purposes.
9. Feedback
If you provide feedback, suggestions, or ideas regarding the Services, you grant TDF Labs a non-exclusive, worldwide, royalty-free right to use and incorporate such feedback without restriction or compensation.
10. Suspension and Termination
You may stop using the Services at any time. We may suspend or terminate access if necessary to address security risks, suspected fraud, legal violations, material breaches of these Terms, or to comply with legal obligations.
11. Disclaimers
To the extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
To the fullest extent permitted by applicable law, TDF Labs' aggregate liability arising out of or relating to the Services or these Terms will not exceed the total fees paid by you to TDF Labs for the Services in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for intent, gross negligence, injury to life/body/health, or mandatory statutory liability.
13. Indemnification
You agree to indemnify and hold harmless TDF Labs from and against claims, damages, liabilities, and costs (including reasonable legal fees) arising from your unlawful use of the Services or breach of these Terms, to the extent permitted by law.
14. Governing Law and Venue
These Terms are governed by the laws of Germany, excluding conflict of law principles. The courts of Munich, Germany have exclusive jurisdiction for disputes arising from or related to these Terms, to the extent permitted by law.
15. Changes to These Terms
We may update these Terms from time to time. For material changes, we will provide at least 15 days' notice before the updated Terms take effect, unless earlier changes are required by law, security, or operational necessity.
